Welcome to Supascribe — a newsletter‑growth toolkit run by Supascribe Limited (“we”, “our”, “us”). By using any Supascribe website, app, or service (together, the “Service”), you agree to these Terms. If you do not agree, please do not use the Service.
1. Acceptance of These Terms
By accessing or using the Service, you:
- confirm you have read, understood, and accept these Terms;
- warrant you are at least 18 years old or have verifiable consent from a parent or legal guardian; and
- commit to comply with all laws that apply to you.
2. Your Account
- Registration. To access most features you need an account. Provide accurate information and keep it current.
- Security. You are responsible for safeguarding your login credentials. Notify us immediately at [email protected] if you suspect unauthorised use.
- Authority. If you create an account on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
3. Permitted & Prohibited Uses
You may use the Service only for lawful purposes. You must not:
- send spam, harassing, or misleading communications using our widgets or dashboards;
- upload or transmit unlawful, hateful, or infringing content;
- reverse‑engineer, decompile, or attempt to extract the Service’s source code;
- interfere with or disrupt the Service or its security;
- use our branding except as expressly allowed (e.g., our embed script);
- violate export‑control or trade‑sanctions laws of New Zealand, the United States, the European Union, or any other applicable jurisdiction. You represent that you are not located in, or a resident of, any country or region currently embargoed or sanctioned and are not on any government denied‑party list.
We may suspend or terminate your account if we believe you have breached these rules. For faster updates, we may publish a standalone Acceptable Use Policy (“AUP”). The current AUP (if any) is part of these Terms by reference.
4. Intellectual Property
- Ours. The Service (software, content, trademarks) belongs to Supascribe Limited or its licensors.
- Yours. You keep ownership of any content you submit (e.g., copy, images).
- Licence You Get. We grant you a limited, non‑exclusive, revocable licence to use the Service while these Terms are in force.
- Licence You Give Us. To operate the Service, you grant us a worldwide, non‑exclusive, royalty‑free licence to host, display, and process your submitted content.
4.1 DMCA / Copyright Notices (US only)
If you believe content hosted on the Service infringes your copyright, send a written notice to our designated agent:

Your notice must include the information required by 17 U.S.C. §512(c)(3). We may remove or disable access to the content and notify the user. Repeat infringers’ accounts may be terminated.
5. Plans, Billing & Cancellations
- Pricing. Our current paid plan (Pro) is priced in USD and is subject to change.
- Billing. Subscriptions are charged in advance via Stripe and renew automatically unless cancelled.
- Upgrades/Downgrades. Changes take effect at the next billing cycle.
- Cancellation. You can cancel any time via your dashboard. Your plan remains active until the end of the cycle; no partial refunds apply.
- Refunds. Email [email protected] within 30 days of the charge and we will review your request in good faith.
6. Third‑Party Services & Links
The Service integrates with third‑party providers (e.g., payment processing, email delivery). We are not responsible for third‑party services or sites. Your use of them is governed by their own terms and policies.
7. Privacy & Data
- Snapshot. We collect and process personal data to operate the Service (e.g., email addresses, analytics).
- Full Policy. See our Privacy Policy for details, including GDPR and CCPA rights.
- Data Processing Agreement (DPA). If required by law or contract (e.g., GDPR Art. 28), we will sign our standard DPA upon request.
- Data Processors. We use reputable sub‑processors and take reasonable steps to protect your data.
8. Warranties & Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we:
- disclaim all warranties (express or implied) including merchantability, fitness for a particular purpose, and non‑infringement;
- do not guarantee that the Service will be uninterrupted, secure, or error‑free;
- may release beta or experimental features that are for evaluation only and may change or be withdrawn without notice.
Consumer Guarantees (NZ)
Nothing in these Terms excludes any non‑excludable rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (NZ) for users who acquire our Service “as a consumer.” Similar non‑excludable rights may apply in other jurisdictions.
9. Limitation of Liability & Indemnity
- To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service is limited to the greater of (i) NZD $100 or (ii) the amount you paid us in the 12 months before the event.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
- Indemnity. You agree to defend and hold harmless Supascribe Limited from any claim, damage, or expense arising out of your breach of these Terms, your content, or your misuse of the Service.
10. Suspension & Termination
We may suspend or terminate your account (and delete content) if:
- you breach these Terms or any law;
- your payment fails and remains unpaid after reasonable reminders;
- we discontinue the Service.
We will try to give reasonable notice unless immediate action is required for legal or security reasons.
11. Governing Law & Dispute Resolution
- Law. These Terms are governed by the laws of New Zealand.
- Venue. You and we submit to the non‑exclusive jurisdiction of the courts of New Zealand.
- Arbitration (US users). If you reside in the United States, either party may elect to resolve any claim (except intellectual‑property disputes) by confidential, binding arbitration under the New Zealand Arbitration Act 1996. If no election is made, the claim proceeds in court.
12. Changes to These Terms
We may update these Terms at any time, without notice, and changes are effective immediately upon posting to the Service. Your continued use after posting constitutes acceptance of the revised Terms.
